Shift to merge subsidiaries to boost efficiency, support sales target

Shift Inc. revealed plans for two absorption-type mergers, both effective in March 2026. The first merger sees its wholly-owned consolidated subsidiary ALH Inc. acquire Crebnet Corporation and dataway. systems co., ltd. Crebnet, a provider of system development and support services, and Dataway Systems, specializing in software design and development, will integrate into ALH to expand regional operations and standardize business processes.

Concurrently, Shift Inc. will absorb its wholly-owned consolidated subsidiary ADX Consulting Inc., with an effective date of March 1, 2026. ADX, specializing in ERP planning and upstream consulting, became a wholly-owned subsidiary of Shift in 2023. This merger aims to foster closer integration in ERP-related services, supporting Shift's “SHIFT3000” goal of reaching ¥300 billion in net sales.

Neither merger involves the issuance of new shares or payment of additional consideration, and no significant impact on Shift's consolidated financial results is anticipated.
