Shift strengthens consulting and IT services with dual subsidiary mergers

Shift Inc. announced on December 22, 2025, the planned merger of its wholly-owned consolidated subsidiary, ADX Consulting Inc., with Shift as the surviving entity. ADX, established in 2020 and becoming a Shift subsidiary in 2023, specializes in ERP planning, requirements definition, and upstream consulting, which significantly complements Shift's existing ERP-related services. This merger, effective March 1, 2026, aims to leverage synergies, strengthen collaboration, and accelerate business growth toward Shift Group's ¥300 billion sales target.

In a related move, Shift also announced a merger involving two other wholly-owned consolidated subsidiaries: Crebnet Corporation and Dataway Systems Co., Ltd., which will be absorbed by ALH Inc., the surviving company. Crebnet, a system development and support provider, became an ALH subsidiary in November 2025, while Dataway Systems, specializing in software design and development, joined ALH in December 2025. This reorganization, effective March 2, 2026, will expand ALH’s operations in Osaka and Sendai, accelerate business expansion, and enhance management efficiency through back-office integration and process standardization.

Both mergers are internal group transactions, involve no new share issuance or consideration, and are expected to have an immaterial impact on Shift’s consolidated financial results. The mergers consolidate Shift's IT solutions and consulting capabilities, driving operational efficiencies and market presence in key regional areas.
