Maruha Nichiro to sell Tokachi processing plant business to OIC Group

Maruha Nichiro Corporation will conduct a simplified incorporation-type company split, effective April 1, 2026, to transfer its Tokachi processing plant business to a newly established entity, Maruha Nichiro Tokachi Meat Center. This new company will then issue 200 shares of common stock to Maruha Nichiro.

On the same day, April 1, 2026, Maruha Nichiro will transfer all 200 shares of the newly established company to OIC Group. The transaction aims to ensure smooth business operations and expand the business by leveraging OIC Group's expertise in meat sales.

The Tokachi processing plant business, which primarily processes and produces domestic beef for sale in Honshu, recorded revenue of JPY 4,559 million and operating profit of JPY 46 million for the fiscal year ending March 2025. The impact of this share transfer on Maruha Nichiro's financial results for the fiscal year ending March 2026 is expected to be minor.
