Zero to split off maintenance and pre-delivery businesses to subsidiary ZPM

Zero, headquartered in Kawasaki City, Kanagawa Prefecture, announced on December 18, 2025, a simplified absorption-type company split. This move will transfer its large-scale maintenance and new vehicle pre-delivery businesses to Zero Plus Maintenance (ZPM), a wholly-owned subsidiary based in Mooka City, Tochigi Prefecture. The company aims to enhance management efficiency, optimize its business portfolio, and clarify management responsibilities by consolidating operations under ZPM.

The company split will take effect on July 1, 2026, following the signing of the absorption-type split agreement on December 18, 2025. As a simplified absorption-type split between Zero and its wholly-owned subsidiary, no new shares will be allotted, and no other consideration will be exchanged. The businesses being transferred generated 4,026 million yen in sales for the fiscal period ending June 2025.

The transferred assets include 51 million yen in current assets and 521 million yen in non-current assets, totaling 572 million yen. The split involves no liabilities. Zero anticipates the impact on its consolidated financial performance to be minor.
