Shift delays merger with subsidiary RK10 by one month

Shift Inc. has resolved to postpone the effective date of its absorption-type merger with subsidiary Roppongi Kanri No. 10 Co., Ltd. (RK10). The original effective date of January 1, 2026, has been rescheduled to February 1, 2026, marking a one-month delay.

The postponement stems from the expectation that prerequisite procedures for the merger will require more time than initially anticipated. All other key dates, including the board of directors' resolution date and the contract date, remain November 5, 2025, as previously disclosed.

Shift Inc. does not foresee a material impact on its consolidated financial results from this revised merger schedule. The company has pledged to promptly disclose any significant impacts should business conditions change.
