Ebara Jitsugyo to divest turbo blower business to Aerzen Japan

Ebara Jitsugyo Co., Ltd. has resolved to transfer its turbo blower product business, which utilizes air bearings, to Aerzen Japan Co., Ltd., a wholly-owned subsidiary of Aerzener Maschinenfabrik Gmbh. The decision was made at a board of directors meeting on December 16, 2025, with the business transfer agreement expected to conclude on December 25, 2025. Operations are scheduled to transition in stages from January 1, 2026, to be completed by January 31, 2026.

This divestiture aligns with Ebara Jitsugyo's Medium-term Management Plan, announced on February 10, 2025, to prioritize investments in development and growth businesses. The company, which initiated the turbo blower business in 2005, identified the need for new investments and resource allocation in a maturing market. Aerzen Japan, established on July 29, 2025, with a share capital of JPY 40 million, is a key partner for Ebara Jitsugyo in Germany.

Details regarding the operating results of the transferred business, assets, liabilities, and the transfer price remain undisclosed due to ongoing discussions. The transfer price has been mutually agreed upon as fair and reasonable. Ebara Jitsugyo anticipates a minor impact on its consolidated financial results from this transaction and will provide further disclosures if necessary.
