SBI holdings to make Creal an equity method affiliate

SBI Holdings will acquire an additional 1,606,400 shares in Creal Co., Ltd. through a third-party allocation of new shares. This will increase its ownership from 5,836,000 shares (19.29% voting rights) to 7,442,400 shares (20.67% voting rights). This transaction, set to conclude with a payment date of December 23, 2025, follows a capital and business alliance agreement signed on January 31, 2023.

The increased stake aims to deepen collaboration with Creal, which operates a real estate asset management platform and seeks to expand into alternative investment products beyond real estate. This includes exploring partnerships in the secondary market for real estate security token products. The move is expected to expand SBI Group's real estate finance business and offer attractive investment opportunities to investors.

Creal, with a capital of JPY 1,298 million as of September 2025, reported consolidated net assets of JPY 3,806 million and consolidated total assets of JPY 35,749 million as of March 2024. Its consolidated net income attributable to parent company shareholders was JPY 647 million for the same period.
