Tender offer for Forum Engineering amended following regulatory approvals

KJ003 Co., Ltd. has submitted an amendment statement to its Tender Offer Registration Statement for shares of Forum Engineering Inc., which is listed on the Prime Market of the Tokyo Stock Exchange. This amendment, filed with the Kanto Local Finance Bureau on December 4, 2025, revises the public notice for the commencement of the tender offer, initially dated November 11, 2025.

The amendment follows two significant developments: the Japan Fair Trade Commission issued a Notice of No Cease and Desist Order and a Notice of Shortened Acquisition Prohibition Period on November 27, 2025. Additionally, KKR Capital Markets Japan Ltd. assigned all its obligations under the commitment letter to Kiraboshi Bank, Ltd. and SBI Shinsei Bank, Limited on December 1, 2025.

These revisions necessitate changes to the original tender offer document. The amendment, however, will not alter the conditions of purchase.
