Koito manufacturing sells UK subsidiary Koito Europe to Shapers' Group

Koito Manufacturing Co., Ltd. will sell its consolidated subsidiary, Koito Europe Limited (KEL), to Shapers' Group Limited, a UK-based automotive parts manufacturer. This strategic move, approved by Koito's board on November 27, 2025, aligns with Koito’s 1st Medium-Term Management Plan to strengthen its revenue base and enhance long-term corporate value through production reorganization. The transaction, involving 100% of KEL shares, is scheduled for execution on November 28, 2025, with a transfer price of approximately £16 million.

KEL, established on January 8, 1969, specialized in manufacturing and marketing automotive lighting equipment from its Droitwich, UK location. For the fiscal year ended December 31, 2024, KEL reported net assets of £37,304 thousand, total assets of £45,062 thousand, net sales of £55,396 thousand, and a net income of minus £1,348 thousand. Koito anticipates the sale will have a minor impact on its consolidated financial results for the fiscal year ending March 31, 2026.

Shapers' Group Limited, founded on July 15, 2021, and headquartered in Birmingham, UK, focuses on injection molding of plastic parts and automotive mold design. As of November 27, 2025, Shapers' Holdings Limited owns 100% of Shapers' Group. Koito will continue to provide KEL with technical support post-acquisition to ensure its continued development under local ownership.
