Sony Group finalizes exercise prices for two stock option series

Sony Group Corporation announced the determination of the exercise prices and other details for its 53rd and 54th series of common stock share options, which were granted for stock option purposes. The 53rd series comprises 20,387 share options, with each option entitling the holder to 100 shares of Sony Group common stock, totaling 2,038,700 shares. The issue price for each 53rd series share option is 138,600 yen (1,386 yen per share), with an exercise price of 451,200 yen per option (4,512 yen per share).

The 54th series consists of 9,383 share options, each also convertible into 100 shares of common stock, amounting to 938,300 shares. The issue price for each 54th series share option is $897 ($8.97 per share), and the exercise price is $2,888 per option ($28.88 per share). Both series primarily allocate options to executives and employees of Sony Group and its subsidiaries.

Payment for both series' share options will be settled through compensation claims granted by Sony Group or its subsidiaries, rather than cash, conditional on the option holders entering into allocation agreements. These arrangements ensure the fair value of the options without constituting a favorable issuance.
