Shift to absorb subsidiary to boost engineer training

Shift Inc. announced on November 5, 2025, its decision to absorb Roppongi Kanri No.10 Co., Ltd. through an absorption-type merger, with an effective date of January 1, 2026. This strategic move aims to integrate Roppongi Kanri No.10's online programming school and job placement services with Shift's "Hinshitsu Daigaku" training programs, accelerating the development of skilled IT engineers.

The merger, an internal group transaction, will be conducted without consideration. Roppongi Kanri No.10, a wholly-owned subsidiary with common stock of JPY 6 million, recorded net sales of JPY 0 million and a net loss of JPY 1 million for the fiscal year ended July 31, 2025.

Shift anticipates the impact of this merger on its consolidated financial results to be immaterial. The reorganization will centralize corporate functions, optimize resource allocation, and enhance collaboration, particularly in incorporating AI-relevant skills into engineer training programs to address industry talent shortages.
