Daiichikosho to absorb subsidiary Airside in simplified merger

Daiichikosho Co., Ltd. has resolved to absorb its wholly owned subsidiary, Airside Inc., effective March 1, 2026. This absorption-type merger, approved by Daiichikosho's board of directors on October 27, 2025, will see Daiichikosho as the surviving company and Airside dissolved. The transaction is classified as a simplified merger for Daiichikosho and a short-form merger for Airside under Japanese Companies Act provisions, meaning shareholder approval will not be sought by either party.

The merger aims to improve the efficiency of group management by integrating Airside, which operates the "Karaoke Mac" chain of karaoke cabins. As Airside is a wholly owned subsidiary, the merger will not involve the issuance of new shares, an increase in capital, or any cash payments. Daiichikosho confirmed there will be no impact on its consolidated financial results due to this internal restructuring.

Following the merger, Daiichikosho's corporate details, including its name, business activities, head office address, representative, capital, and fiscal year-end, will remain unchanged.
