TSI Holdings acquires umbrella maker Waterfront to expand lifestyle brand portfolio

TSI Holdings announced its acquisition of shares in Waterfront Co. Ltd., effective October 24, 2025, following a board resolution on October 14, 2025. This strategic move aligns with TSI's "TSI Innovation Program 2027" to enhance its brand portfolio and expand into new market segments. Waterfront, known for its "Waterfront" brand umbrellas and extensive sales networks in Asia, reported net sales of 3,008 million yen and a net profit of 310 million yen for the fiscal year ended December 31, 2024.

The acquisition of 45,841 shares, representing 100% of voting rights, was made from JAFCO SV6 Investment Limited Partnership and JAFCO SV6-S Investment Limited Partnership. This integration is expected to create synergies by leveraging TSI’s apparel planning capabilities for new revenue streams in rainwear and related products, enhancing customer touchpoints.

The share transfer is scheduled for December 1, 2025. TSI Holdings anticipates a minor impact on its consolidated financial results for the current fiscal year from this acquisition.
