Maruzen Showa Unyu to acquire Nitto Fuji Transport for expanded logistics

Maruzen Showa Unyu Co., Ltd. announced on October 14, 2025, its decision to acquire a 66.6% voting rights stake in Nitto Fuji Transport Co., Ltd. for 433,324,101 yen. The total acquisition cost, including estimated advisory fees, is 440,774,101 yen. This acquisition will make Nitto Fuji Transport a subsidiary of Maruzen Showa Unyu, with the transaction expected to finalize by October 31, 2025.

Following the acquisition, Nitto Fuji Transport will change its trade name to "M&F Logistics Co., Ltd." on October 31, 2025. This strategic move aims to integrate Nitto Fuji Transport's expertise in flour transportation and its logistics network into the Maruzen Showa Unyu Group, enhancing value-added logistics services and promoting common logistics efficiency within the flour milling industry.

Nitto Fuji Transport Co., Ltd., established in May 1970, specializes in motor truck transportation. Its net sales for the fiscal year ended March 31, 2025, were 2,046 million yen, with an ordinary profit of 80 million yen. Maruzen Showa Unyu anticipates a minimal initial impact on its business performance from this acquisition.
