Orix subsidiary amends tender offer for I-NET Corp. shares

OFI • 01 Corporation, a subsidiary of Orix, commenced a tender offer for I-NET Corp. common shares on October 3, 2025. This followed receipt of a "Notice of Non-Issuance of Cease and Desist Order" and a "Notice of Shortening of Non-Acquisition Period" from the Japan Fair Trade Commission on October 3, 2025.

These regulatory developments necessitated corrections to the Tender Offer Registration Statement and the Public Notice of Commencement of the Tender Offer, which were submitted to the Director General of the Kanto Local Finance Bureau on October 8, 2025. The corrections do not alter the core terms of purchase for the tender offer.

The amendments specifically address the conditions for withdrawal of the tender offer, removing clauses related to the Antimonopoly Act's waiting periods, prohibition periods, prior notices of cease and desist orders, and petitions for emergency suspension orders. These changes are reflected in both the "Notice Regarding Commencement of Tender Offer for Shares of I-NET Corp." and the Public Notice.
