ORIX subsidiary OFI・01 to acquire I-Net corporation in tender offer

OFI・01 Corporation, a subsidiary of ORIX Corporation, announced a tender offer to acquire I-Net Corporation for JPY 2,530 per common share. The total purchase price is JPY 38,601 million. The tender offer period will run for 30 business days, from October 3, 2025, to November 17, 2025.

The tender offer has a minimum acquisition threshold of 10,171,800 shares, representing 66.67% of I-Net's outstanding shares (excluding treasury shares). OFI・01 Corporation intends to make I-Net a wholly-owned subsidiary, with the acquisition expected to foster enhanced corporate value by integrating I-Net’s data center, cloud, and DX expertise with ORIX Group’s business know-how.

Key shareholders, including Reiko Tamano and N&I Co. Ltd., have agreed to tender their shares, totaling 5.22% of I-Net's stock. I-Net's board of directors has expressed support for the tender offer and recommends shareholders accept it. The offer price represents a 53.52% premium over I-Net's closing price of JPY 1,648 on October 1, 2025.
