NTT completes acquisition of SBI Sumishin Net Bank

NTT Inc. announced today that SBI Sumishin Net Bank, Ltd. has become its consolidated subsidiary, effective October 1, 2025. This follows a tender offer initiated by NTT DOCOMO, an NTT subsidiary, to take SBI Sumishin Net Bank private. The tender offer resulted in NTT DOCOMO acquiring 372,741 shares of SBI Sumishin Net Bank as of July 17, 2025, making it an equity-method affiliate.

Although the tender offer was successful, NTT DOCOMO did not acquire all shares, necessitating a share consolidation. Following an extraordinary shareholders' meeting on August 28, 2025, the share consolidation became effective on September 29, 2025, leaving NTT DOCOMO, Sumitomo Mitsui Trust Bank, Limited, and SBI Holdings as the sole shareholders.

On September 30, 2025, SBI Sumishin Net Bank resolved to implement a share repurchase from SBI Holdings. As a result, NTT DOCOMO now holds 10 shares of SBI Sumishin Net Bank. NTT will continue to examine the impact of this transaction on its business performance.
