Ns Solutions to acquire significant stake in Delivery Consulting

Ns Solutions Corporation has decided to acquire shares of Delivery Consulting Co., Ltd. from Takao Sakaguchi and MF Asset Co., Ltd. This transaction is slated for September 30, 2025, and involves 554,800 shares of common stock.

The acquisition will result in Ns Solutions holding 11.57% of Delivery Consulting's total voting rights. This constitutes a "creeping acquisition" as defined by Article 167, Paragraph 1 of the Financial Instruments and Exchange Act and Article 31 of its enforcement ordinance, due to exceeding a 5% voting rights threshold.

The percentage of voting rights is calculated based on Delivery Consulting's total voting rights as of January 31, 2025, as reported in its semi-annual report published on March 14, 2025. The acquisition is based on a stock transfer agreement signed today with existing shareholders of Delivery Consulting.
