H2O retail merges supermarket units, renames subsidiaries

H2O Retailing Corporation's board has approved the merger of its consolidated indirect subsidiary Izumiya-Hankyu Oasis Corporation (IZOA) with Kansai Supermarket Co., Ltd. (KS). IZOA, the surviving company, will change its trade name to "Kansai Food Market Co., Ltd." effective April 1, 2026. Concurrently, the current consolidated subsidiary "Kansai Food Market Co., Ltd." will be renamed "Juso Food Market Co., Ltd."

The merger, effective April 1, 2026, aims to accelerate management decision-making and consolidate dispersed resources, strengthening competitive capabilities. This includes leveraging human resources effectively and enhancing collaboration between the group's manufacturing and sales subsidiaries. The merger agreement will be signed on September 25, 2025, with shareholder approval expected by December 10, 2025.

As this transaction involves H2O Retailing Corporation's consolidated subsidiaries, there will be no allocation of shares or other monetary considerations. The financial impact on consolidated results is expected to be minor.
