Air Water extends tender offer for Ci Medical after regulatory clearances

Air Water Inc. announced revisions to its tender offer for Ci Medical Co., Ltd., extending the offer period due to regulatory developments. Originally set to conclude on September 24, 2025, the tender offer will now run until October 6, 2025. This extension follows Air Water's receipt of a "no exclusion order" and a "shortening of the prohibition period" from the Japan Fair Trade Commission on September 18, 2025.

The amendment necessitated the submission of a revised tender offer registration statement to the Kanto Local Finance Bureau on September 19, 2025. Consequently, the settlement commencement date for the tender offer has been moved from October 1, 2025, to October 14, 2025. Air Water aims to ensure a fair opportunity for Ci Medical shareholders to evaluate the offer and for potential competing bids, underscoring its commitment to a transparent acquisition process.
