Air Water extends Cimedical tender offer after regulatory green light

Air Water Inc. announced an amendment to its tender offer for Cimedical (TSE:3540) shares, extending the period from 31 to 39 business days. The offer, initially set from August 8, 2025, to September 24, 2025, will now conclude on October 6, 2025. This extension follows notification from the Fair Trade Commission on September 18, 2025, that it would not issue a cease and desist order and a reduction in the prohibited period.

The post-tender offer organizational restructuring plans remain largely unchanged. Air Water still intends to request Cimedical convene an extraordinary general meeting of shareholders around November 2025 to approve a share consolidation and an amendment to the articles of incorporation to abolish the unit share system. The effective date for the settlement of the tender offer has been revised from October 1, 2025, to October 14, 2025.
