NTT DOCOMO completes tender offer for CARTA HOLDINGS shares

NTT DOCOMO, Inc., a subsidiary of NTT, Inc., announced the successful completion of its tender offer for the share certificates of CARTA HOLDINGS, INC. The tender offer, initiated on August 18, 2025, concluded on September 16, 2025. As a result, CARTA HOLDINGS will become an equity-method affiliate of NTT DOCOMO as of September 24, 2025.

The tender offer targeted common shares and stock options of CARTA HOLDINGS. A total of 9,575,416 shares were purchased, including 9,512,416 stock certificates and 63,000 share option certificates. This figure exceeded the minimum purchase requirement of 3,425,400 shares. The acquisition price totaled JPY 20,001,777,600, calculated at JPY 2,100 per common share and JPY 40,800 per stock option.

Following the acquisition, NTT DOCOMO’s ownership ratio of voting rights in CARTA HOLDINGS is 37.75%. CARTA HOLDINGS reported JPY 24,492 million in consolidated net assets and JPY 48,344 million in consolidated total assets as of FY2024.
