Macnica to absorb Gloocell in subsidiary merger

Macnica Holdings announced that its wholly-owned subsidiary, Macnica, will absorb Gloocell, a wholly-owned subsidiary of Macnica, effective October 1, 2025. This merger aims to optimize management resources and enhance competitiveness in the semiconductor market, following Macnica's earlier acquisition of Gloocell.

The merger process began with board approvals from Macnica and Gloocell on July 14, 2025, and from Macnica Holdings on July 28, 2025. A shareholder meeting for Macnica is scheduled for July 29, 2025. No new shares or other property will be allotted as this merger occurs between fully-owned subsidiaries.

Post-merger, Macnica will remain the surviving company, maintaining its existing trade name, location, representative's title and name, business activities, capital, and fiscal year end. Macnica Holdings anticipates a minor impact on its consolidated financial results due to this internal restructuring.
