Niterra completes DENSO spark plug, sensor acquisition for 180.6bn yen

Niterra Co. Ltd. announced on September 1, 2025, the acquisition of DENSO Corporation’s spark plug and exhaust gas sensor businesses. This follows a Memorandum of Understanding signed on July 10, 2023.

The acquisition, valued at 180.6 billion yen, aims to leverage Niterra's ceramic technology to ensure stable global supply for internal combustion engine parts, supporting the transition to carbon neutrality. The final purchase price will be adjusted based on the closing date and other contractual provisions.

The acquired business includes the domestic and international development, manufacturing, and sales of spark plugs and exhaust sensors (limited to oxygen and air-fuel ratio sensors) currently operated by DENSO and its subsidiaries. The transaction is contingent upon obtaining clearances from competition authorities and other regulatory approvals. Officers, employees, land, and buildings are not included in the acquisition.

DENSO's business, as of March 31, 2025, reported net sales of 191.819 billion yen. Its assets include 48.050 billion yen in current assets and 21.800 billion yen in noncurrent assets, totaling 69.851 billion yen. Liabilities comprise 31.317 billion yen in current liabilities. The acquisition is expected to result in positive goodwill, the amount of which is still under review.
