SBI Holdings to acquire up to 6.5m Gumi shares

SBI Holdings has announced it will acquire up to 6,500,000 common shares of gumi Inc. (Securities Code: 3903) from SUPER STATE HOLDINGS Inc. The transaction, set to occur between June 24, 2025, and June 30, 2025, could raise SBI Holdings' voting rights in gumi above 5%, triggering regulations equivalent to a tender offer under Japanese financial law. The final number of shares acquired will be determined during the acquisition period. As of October 31, 2024, the ratio of the targeted shares represents up to 13.14% of total voting rights in gumi, calculated based on 494,764 total voting rights.
