Hulic to acquire 18.04% stake in ASTMAX

Hulic Co., Ltd. (TSE:3003) announced today that its consolidated subsidiary, Hulic Property Solution Co., Ltd., will acquire 2,362,500 common shares of ASTMAX Co., Ltd. (Securities Code: 7162) on June 12, 2025, representing an 18.04% stake. The acquisition is structured through a share transfer agreement with an existing ASTMAX shareholder for 1,662,500 shares, supplemented by 700,000 shares through a third-party allotment. Hulic's stake increase will trigger regulations related to tender offers under Japanese financial law. The percentage is calculated based on current total shareholder voting rights, plus rights to be increased through the third-party allotment.
