Quantum Graphite issues shares and options to directors for services

Quantum Graphite Limited (ASX:QGL) has proposed to issue 1,150,747 fully paid ordinary shares through a placement, to be issued on December 23, 2025. These securities are being issued as non-cash consideration for services provided to the company by contractors, with an estimated AUD equivalent value of 0.366788 per security. The issuance is authorized by a resolution passed at the company's AGM on November 28, 2025, and the new securities will rank equally with existing issued securities.

Accompanying this issuance are changes in the interests of three directors, effective December 22, 2025, also as payment for services provided in calendar year 2025. Director Michael Wyer acquired 96,000 fully paid ordinary shares and 103,255 options, while exercising 96,000 employee incentive options. His total holdings after the change include 493,700 employee incentive options (nil exercise price), with 103,225 having a series expiry of December 22, 2031.

Director David Trimboli also saw changes, acquiring 96,000 fully paid ordinary shares and 103,255 options, while exercising 96,000 employee incentive options. His post-change holdings total 13,012,897 employee incentive options (nil exercise price), with 103,255 having a series expiry of December 22, 2031. Sal Catalano, through Ziziphus Pty Ltd, acquired 144,000 fully paid ordinary shares and 154,835 options, and exercised 144,000 employee incentive options. His indirect holdings through Ziziphus Pty Ltd after the change include 154,835 employee incentive options (nil exercise price) with a series expiry of December 22, 2031, and a total of 20,579,744 ordinary shares across various indirect interests.
