Tony Pitt boosts stake in 360 Capital Group during takeover offer

Tony Pitt and Teresa Gallagher, through associated entities TT Investments Pty Limited, Pentagon Capital Pty Limited, and Pentagon Financial Services Pty Limited, have increased their substantial holding in 360 Capital Group. As of December 22, 2025, their combined voting power rose from 96.58% to 96.75% of the 196,870,874 securities, now holding 190,475,159 ordinary units. This change occurred through on-market purchases during a takeover offer by TT Investments Pty Limited.

The acquisitions included 346,217 Fully Paid Ordinary Stapled Securities on December 22, 2025, at a consideration of A$0.3100 per security, totaling A$107,327.27. Additionally, Tony Pitt, as a director, acquired 39,384,393 Fully Paid Ordinary Stapled Securities via on-market trade between December 18 and 22, 2025, as part of the TT Investments Pty Limited takeover offer, bringing his total post-change holding to 190,475,159 Fully Paid Ordinary Stapled Securities and 1,500,000 2024 LTI Rights.
