Perpetual becomes substantial holder in Navigator Global, issues performance rights

Perpetual Limited announced it became a substantial holder in Navigator Global Investments Limited on November 13, 2025, acquiring a 5.298% voting power, equivalent to 25,965,921 ordinary shares. This follows numerous purchases of NGI shares from August to November 2025, with total cash consideration for these acquisitions amounting to A$37,249,076.65. Perpetual Limited also ceased to be a substantial holder in its own securities on November 14, 2025.

Concurrently, Bernard Reilly, chief executive and managing director of Perpetual Limited, experienced a change in his direct and indirect interests, as reported on November 19, 2025. His direct holdings increased to 18,271 Share Rights and 106,344 Performance Rights, while his indirect holding of 5,180 ordinary shares in Perpetual Limited remained unchanged. These Share Rights and Performance Rights were granted under Perpetual's KMP variable incentive plan.

Separately, Perpetual Limited issued 989,513 Performance Rights on November 17, 2025, under an employee incentive scheme. These unquoted securities are subject to transfer restrictions. Following this issuance, the total number of unquoted Performance Rights stands at 2,680,378, while quoted ordinary fully paid shares remain at 114,952,568.
