Amcor UK Finance Plc issues €1.5 bn in guaranteed senior notes

Amcor UK Finance Plc has filed a 424B Preliminary Prospectus Supplement with the US Securities and Exchange Commission, detailing an offering of €750,000,000 3.200% Guaranteed Senior Notes due 2029 and €750,000,000 3.750% Guaranteed Senior Notes due 2033. These notes are fully and unconditionally guaranteed by Amcor plc and its subsidiaries, including Amcor Finance (USA), Inc., Amcor Group Finance plc, Amcor International UK plc, Amcor Flexibles North America, Inc., Berry Global Group, Inc., and Berry Global, Inc. The proceeds from this offering, estimated at approximately €1,488 million, are primarily intended to repay Berry Global's $1.525 billion 1.570% First Priority Senior Secured Notes due January 2026 and a portion of commercial paper borrowings.

The offering reflects Amcor plc's ongoing financial strategy following its merger with Berry Global Group on April 30, 2025. The company's capitalization as of September 30, 2025, included total borrowings of $14,824 million, with an adjusted total capitalization of $26,554 million. The new senior notes will rank equally with other unsecured and unsubordinated obligations of the issuer and guarantors.

Amcor plc emphasized its commitment to transparency by incorporating various reports, including its Annual Report on Form 10-K for the fiscal year ended June 30, 2025, and Quarterly Reports on Form 10-Q for the periods ended September 30, 2024, and September 30, 2025, by reference into the prospectus supplement.
