Imugene to issue new shares for milestone achievement

Imugene Limited announced its application for the quotation of 19,491,635 fully paid ordinary shares on the ASX. These shares were issued to Precision Biosciences, Inc., marking the achievement of the first milestone event under a license agreement established between the two entities on August 16, 2023. The issue date for these new shares is October 31, 2025.

The shares are being issued as consideration for the milestone and not for cash. The estimated value of the consideration provided per security is AUD0.390800. These new shares will rank equally in all respects with Imugene's existing issued ordinary shares from their issue date.

Following this quotation, the total number of ordinary fully paid shares quoted on ASX for Imugene will increase to 315,326,785. The issue of these shares is being undertaken without security holder approval, utilizing the entity's 15% placement capacity under listing rule 7.1.
