Nuix withdraws executive performance resolutions amid ceo departure

Nuix Limited announced today, October 27, 2025, the withdrawal of two resolutions pertaining to chief executive officer performance rights from its Annual General Meeting (AGM) scheduled for November 19, 2025. This decision follows the planned departure of chief executive officer Jonathan Rubinsztein at the end of October 2025.

The withdrawn resolutions include Resolution 4, which sought approval for the issue of FY25 STI performance rights to the chief executive valued at $70,000, and Resolution 5, concerning the approval for the issue of FY26 LTI performance rights to the chief executive valued at $875,000. These resolutions were originally part of the company's notice of AGM dated October 15, 2025.

Nuix confirmed that the withdrawal of Resolution 4 and Resolution 5 will not impact the validity of proxy forms already submitted for these resolutions or the remaining business items to be considered at the AGM. The announcement has been authorised by the Nuix board.
