Horizon Minerals plans share consolidation, adjusts options

Horizon Minerals Limited has announced a 15-for-1 share consolidation, subject to shareholder approval at its Annual General Meeting on November 28, 2025. This consolidation aims to create a more appropriate and effective capital structure with a share count below 1 bn. It will apply equally to all shareholders, ensuring no material effect on individual percentage interests. All Options and Performance Rights will also be consolidated in the same ratio, with exercise prices adjusted accordingly. Fractions of securities will be rounded up to the nearest whole number.

The timetable outlines key dates, with the effective date of consolidation on December 5, 2025. Trading on a pre-consolidation basis ceases on December 8, 2025, with deferred settlement trading commencing on December 9, 2025. The record date for the consolidation is December 10, 2025, and normal T+2 trading is expected to begin on December 18, 2025. Post-consolidation, 2.99 bn ordinary fully paid shares will reduce to an estimated 199.6m. Performance rights will decrease from 22.4m to 1.4m, and options (HRZAO) from 17.9m to 1.1m, with their exercise price increasing from AUD 0.0519 to AUD 0.7785.

In a separate announcement on October 27, 2025, Horizon Minerals also reported the quotation of an additional 165,213 ordinary fully paid shares. These shares resulted from the exercise of 165,213 HRZAO options at AUD 0.0519 per security. This issuance brings the total quoted ordinary fully paid shares on issue to 2.99 bn prior to the consolidation, with unquoted performance rights at 22.4m and unquoted HRZAO options at 17.7m.
