Perpetual becomes substantial shareholder in Maas Group, MGH issues new shares

Perpetual Limited and its related bodies corporate became a substantial holder in Maas Group Holdings Limited (MGH) on October 22, 2025, with a voting power of 5.233%, representing 19,001,242 ordinary shares. This follows acquisitions by Perpetual's entities, including Perpetual Investment Management Limited, through various transactions between June 27, 2025, and October 22, 2025.

Concurrently, Maas Group Holdings Limited issued 573,631 fully paid ordinary shares on October 24, 2025, as part of the third tranche of deferred consideration for acquiring 75% of Austek group of companies' share capital. The acquisition, initially announced on April 26, 2023, and completed on May 26, 2023, involved shares valued at AUD 4.60 per security, contingent on Austek achieving EBIT targets for FY23 and FY24.

MGH issued a cleansing notice under Section 708(5)(e) of the Corporations Act 2001 for these shares, confirming the disclosure was made without a prospectus. Following this issuance, MGH's total quoted ordinary fully paid securities on issue now stand at 363,795,214, with an additional 2,596,367 unquoted performance rights.
