Challenger significantly reduces stake in Elanor Investors Group

Challenger Limited and its associated entities have notified a change in their substantial holding in Elanor Investors Group (ENN), reducing their voting power from 13.62% to 5.65%. The change, effective October 22, 2025, involved the sale of 12,377,083 Ordinary Fully Paid Stapled Securities.

The reduction in Challenger's interest is attributed to clawback and buyback arrangements approved by ENN's securityholders at an Executive General Meeting held on June 30, 2023. This transaction resulted in Challenger Limited (and its entities) transferring these securities for a consideration of AUD 1.

Fidante Partners Holdco1 Pty Ltd is now listed as the registered holder of 12,377,083 Stapled Securities, with Challenger maintaining a relevant interest by virtue of section 608(3) of the Corporations Act 2001 (Cth). Challenger’s holding of 4,473,684 stapled securities with disposal restrictions remains unchanged, representing 3.20% of the voting power.
