Woodside adjusts employee equity plans, issues new rights

Woodside Energy Group Ltd (ASX:WDS) announced on October 14, 2025, the issue of 63 unquoted "RIGHTS" securities (ASX code: WDSAL) with an issue date of August 27, 2025. These new securities are part of an employee incentive scheme, specifically the Woodside Equity Plan (WEP), and will rank equally with existing issued securities of that class. Following this issuance, the total number of WDSAL rights will be 5,772,223. The company clarified that these new rights were issued without security holder approval, utilizing its 15% placement capacity.

Concurrently, Woodside reported the cessation of a significant number of unquoted equity rights under various employee incentive schemes during the quarter ending September 30, 2025. This included the cessation of 86,342 WEP Equity Rights (WDSAE) cash settled on July 14, 2025, for TTD 106.315300000000 per security, along with another 2,328 WDSAE rights cash settled on August 27, 2025, for AUD 26.645000000000 per security, and 17,718 WDSAE rights for USD 17.210000000000 per security on the same date. Additionally, 59,048 WDSAE rights lapsed on August 27, 2025, due to unfulfilled conditions.

Further cessations involved Supplementary Woodside Equity Plan (SWEP) Equity Rights (WDSAF). On August 27, 2025, 6,914 WDSAF rights lapsed, while 10,926 WDSAF rights were cash settled for USD 17.210000000000 per security. On September 1, 2025, an additional 483 WDSAF rights lapsed, and 9,390 WDSAF rights were cash settled for AUD 26.744700000000 per security. Lastly, 11,112 WDSAF rights were cash settled for USD 17.491000000000 per security on September 1, 2025. These adjustments result in 6,135,179 WDSAE, 1,083,970 WDSAB, and 328,299 WDSAF unquoted securities remaining on issue.
