Gold Road Resources scheme with Gold Fields successfully implemented

Gold Road Resources Limited (Gold Road) announced on October 14, 2025, that its scheme of arrangement with Gruyere Holdings Pty Ltd (GHPL), a wholly-owned subsidiary of Gold Fields Limited, has been implemented. All Gold Road shares have been transferred to GHPL. Shareholders recorded on the register as of October 8, 2025, received A$3.06423 per Gold Road share.

Following the scheme's implementation, Gold Road will be removed from the official list of ASX. Related filings confirmed the cessation of directors Denise Patricia McComish and Brian Kenneth Levet from the board on October 14, 2025.

In connection with the scheme, Denise Patricia McComish's indirect interest in 51,026 fully paid ordinary shares was disposed of on October 14, 2025, at A$3.06423 per share, as part of the transfer to Gruyere Holdings Pty Ltd.
