American Rare Earths AGM to address share issues, director re-elections

American Rare Earths Limited (ARR) will hold its Annual General Meeting (AGM) on November 13, 2025, in Sydney to address several key resolutions affecting the company's capital structure and board. A substantial holder notice for Godolphin Resources Limited (GRL) dated October 25, 2025, reveals American Rare Earths Limited's voting power in GRL has decreased to 12.20% from 15.24% due to dilution from a placement and rights issue by GRL.

The AGM agenda includes a resolution to ratify the prior issue of 46,875,000 fully paid ordinary shares at A$0.32 each on July 31, 2025, to sophisticated and professional investors, raising approximately A$15 million. Shareholders will also vote on approving an additional 10% placement facility, allowing the company to issue new equity securities up to 10% of its issued capital over the next 12 months.
