L1 Capital ceases to be substantial holder in Downer EDI

L1 Capital Pty Ltd and L1 Capital Strategic Equity Management Pty Ltd are no longer substantial holders in Downer EDI Limited. The change was effective on September 12, 2025, with the previous notice given on August 20, 2025.

The cessation follows a series of on-market sales by both entities between August 27, 2025, and September 12, 2025. L1 Capital Pty Ltd conducted significant sales, including $2,252,226.05 for 309,552 FPO shares on August 27, 2025, $1,733,288.27 for 240,448 FPO shares on August 29, 2025, $2,021,944.10 for 283,261 FPO shares on September 11, 2025, and a substantial $37,977,817.30 for 5,249,180 FPO shares on September 12, 2025.

L1 Capital Strategic Equity Management Pty Ltd also contributed to the reduction, with sales including $94,792.53 for 13,111 FPO shares on August 29, 2025, $643,949.02 for 90,213 FPO shares on September 11, 2025, and $1,923,157.06 for 265,813 FPO shares on September 12, 2025. Notably, this entity also had minor on-market purchases on August 22 and 27, 2025.
