Kogan.com independent director James Spenceley resigns from board

Kogan.com Ltd. (ASX:KGN) announced on September 10, 2025, the resignation of its independent non-executive director, James Spenceley, effective immediately. Mr. Spenceley, who joined the board in March 2021, served as chair of the remuneration & nomination committee and was also a member of the audit & risk management committee.

Mr. Spenceley cited a desire to focus on growing personal and humanitarian interests, which have increased his time outside of Australia, as his reason for stepping down. He noted the company's strong position and the ongoing board renewal process, with three new directors recently appointed.

Board chair Greg Ridder commended Mr. Spenceley's invaluable contributions, highlighting his business and entrepreneurial experience and his instrumental role in overseeing the recruitment of three quality independent non-executive directors during his tenure as chair of the remuneration & nomination committee.
