News Corp announces pricing of Class B stock offering

News Corporation announced the pricing of an underwritten public offering of 14,071,293 shares of its Class B common stock at $32.45 per share. The shares are being sold by trusts established for the benefit of Prudence MacLeod, Elisabeth Murdoch, James Murdoch, and their respective descendants and charitable organizations.

The offering will generate proceeds exclusively for the selling stockholders, as News Corp is not selling any shares and will not receive any proceeds from the transaction. The offering remains subject to market and other conditions. Morgan Stanley is acting as the sole underwriter for this offering.
