BOQ clarifies director's share interests after administrative oversight

Bank of Queensland (BOQ) announced on Friday, September 5, 2025, that it has lodged an Appendix 3Y for karen penrose, detailing changes in her director's interests. The notice clarifies that securities were transferred with no change to beneficial ownership or the total number of securities held, and an administrative oversight led to the late lodgement of the Appendix 3Y. BOQ confirmed its awareness of obligations under Listing Rules 3.19A and 3.19B and stated it has adequate systems for managing transactions involving its securities and related notifications.

The Appendix 3Y outlines several indirect and direct interest changes for penrose. As of September 1, 2025, 2,798 ordinary shares were transferred off-market from being indirectly held by Pacific Custodian Pty Ltd as trustee for the BOQ Employee Share Plan Trust to being indirectly held by Pacific Custodian Pty Ltd (BOQ Plans Control A/C), with these shares no longer subject to restrictions. Additionally, on May 3, 2024, 838 ordinary shares were transferred off-market from Pacific Custodian Pty Ltd (BOQ Plans Control A/C) to penrose directly.

Furthermore, on October 20, 2023, 500 Capital Notes 3 were transferred off-market from BT Panorama as Trustee for Karen Lee Penrose to being directly held by penrose. Following these changes, penrose's holdings include 838 ordinary shares and 500 Capital Notes 3 directly. Indirectly, she holds 22,129 ordinary shares via GKP Acquisitions Pty Limited as Trustee for the Karen Lee Super Fund, 2,798 ordinary shares through Pacific Custodian Pty Ltd (BOQ Plans Control A/C), and 8,147 ordinary shares via Pacific Custodian Pty Ltd as trustee for the BOQ Employee Share Plan Trust. The notice stated no securities were acquired or disposed, and the transfers were off-market with no change in beneficial ownership.
