Fortescue announces AGM date, details executive share conversions

Fortescue Ltd. (ASX: FMG) will hold its 2025 Annual General Meeting at 11:00 AM (AWST) on Friday, October 31, 2025. The closing date for nominations for director elections is Friday, September 12, 2025.

The company also disclosed the conversion of 808,742 SIP Vested Rights and 1,662,076 Performance Rights into ordinary fully paid shares. Key management personnel, including Dino Otranto, Richard Hutchinson, Shelley Robertson, and Yuen Sum Paget, converted Performance Rights totaling 140,948, 109,274, 28,705, and 15,161 shares, respectively, on August 29, 2025.

Additionally, Fortescue reported the cessation of 814,005 Performance Rights due to unmet conditions as of August 29, 2025, and 14,760 SIP Vested Rights were forfeited by August 4, 2025. The company also issued 925 Performance Rights on July 2, 2025, and 9,135 SIP Vested Rights on July 4, 2025, under employee incentive schemes. Following these changes, Fortescue's quoted ordinary shares remain at 3,078,964,918, while unquoted Performance Rights are 6,800,184 and SIP Vested Rights are 10,133,394.
