Zhejiang Sunflower Health appoints non-independent director

Zhejiang Sunflower Great Health Liability Company announced the resolutions of its second extraordinary general meeting of shareholders for 2025. Held on December 25, 2025, the meeting saw the approval of the proposal to elect Ms. Wu Junhua as a non-independent director for the sixth board of directors. Her appointment was previously proposed and approved at the twelfth meeting of the sixth board of directors on December 9, 2025.

Shareholders representing 380,332,020 shares, or 29.5470% of the total share capital, participated in the general meeting. Ms. Wu Junhua was elected with 379,374,320 votes (99.7482% of shares present), with 528,300 votes against and 429,400 abstentions. Her term will commence immediately and last until the expiration of the sixth board of directors' term.

Following this election, Ms. Wu will also serve on the company's strategic, audit, and remuneration and assessment committees. The number of directors also holding senior management positions on the board will remain within one-half of the total director count.
