Tapai Group concludes board transition, governance updates

Guangdong Tapai Group (SZSE:002233) held its second extraordinary general meeting of shareholders on December 25, 2025, approving significant changes to its board of directors and various governance policies. Shareholders elected the seventh board, comprising nine directors, including five non-independent directors (Zhong Zhaohui, Zhong Jianwei, Lai Hongfei, Xu Zhiming, Zhang Yuxun) and three independent directors (Li Boqiao, Diao Yingfeng, Zeng Yuxia). Zhong Zhaohui was appointed chairman and Zhong Jianwei as vice chairman. The term for the new board is three years.

The meeting also ratified updates to several key governance documents, including the articles of association, shareholder meeting rules, board meeting rules, independent director work system, external director management system, connected transaction decision-making system, external guarantee decision-making system, employee stock ownership plan management measures, director and senior management remuneration management system, accountant appointment system, and fundraising management and use measures. Additionally, shareholders approved a change in the use of some repurchased shares, which will be cancelled to reduce the registered capital.

Following the general meeting, the seventh board appointed Lai Hongfei as general manager and secretary of the board, Zhong Huasheng as executive deputy general manager, and Liu Yandong, Li Chonghui, and Liu Qing as deputy general managers and financial officer, respectively. The board established four special committees: strategy, audit, nomination, and remuneration and assessment, with Zhong Zhaohui chairing the strategy committee, Diao Yingfeng heading the audit committee, and Zeng Yuxia leading the nomination committee. Li Boqiao will chair the remuneration and assessment committee.
