Lianchuang Electronic approves governance changes, appoints new director

Lianchuang Electronic Technology announced the resolutions from its fourth extraordinary general meeting of shareholders held on December 25, 2025. Shareholders approved key amendments to the company's articles of association and related rules, with 92.6066% of votes in favor. Revisions to the "Independent Director Work Rules" (92.6520% in favor) and the "Remuneration Management System for Directors and Senior Management" (95.4271% in favor) were also passed. Additionally, the remuneration plan for non-independent directors and senior management was approved with 95.4290% of votes.

In a related development, a second labor union committee meeting on the same day elected Liu Dan as the new employee representative director for the ninth board of directors. Liu, born in February 1973, holds a bachelor's degree and has extensive experience, including roles as director, chairman of the labor union, and executive director at Lianchuang Electronic Technology. He replaces Luo Juan, who will no longer serve as an employee representative supervisor.

The company confirmed that the meeting's convening, attendance, and voting procedures complied with relevant laws and regulations, as verified by Jiangxi Huabang Law Firm. The new appointments and governance changes are effective immediately.
