Jiugui Liquor adjusts board committees, approves authorization management plan

Jiugui Liquor Co., Ltd. held its ninth board of directors' eleventh meeting on December 25, 2025, with all nine directors participating. The board approved adjustments to the membership of its specialized committees, including the Strategic Development Committee, Audit Committee, Nomination Committee, and Remuneration and Assessment Committee. This restructuring was carried out in accordance with relevant regulations and the company’s articles of association, reflecting changes in the board's composition and leveraging directors' specific expertise.

For the Strategic Development Committee, Gao Feng was appointed chairman, with Zheng Yingnan, Zheng Yi, Jiang Yong, Zhang Hai'an (independent director), and Li Shihui (independent director) serving as members. The Audit Committee will be chaired by Zhang Xiaotao (independent director), with Jiang Yong as a member. The Nomination Committee will be led by Zhang Xiaotao (independent director) as chairman, and Li Shihui (independent director) and Cheng Jun as members. Lastly, Zhang Xiaotao (independent director) will also chair the Remuneration and Assessment Committee, with Li Shihui (independent director) and Cheng Jun as members.

Additionally, the board unanimously approved the "Proposal on Amending the Board of Directors' Authorization Management Measures and Authorization Decision-Making Plan." This amendment aims to standardize the board's authorization practices, enhance the executive layer's performance, and improve operational decision-making efficiency, in line with directives from the State-owned Assets Supervision and Administration Commission regarding central state-owned enterprises. Both resolutions received full approval.
