Shennan Circuits changes sponsor representative for A-share issuance oversight

Shenzhen Circuits Co. (the "Company") has announced a change in its sponsor representatives for the continuous supervision of its 2021 non-public issuance of A-shares. Previously, Guotai Junan Securities Co. (now Guotai Haitong Securities Co.) and AVIC Securities Co. acted as joint sponsors. The original sponsor representatives designated by Guotai Haitong were Mr. Yin Bo and Mr. Zhao Zonghui, with their continuous supervision period having concluded on December 31, 2023. However, due to the company's ongoing use of raised funds, Guotai Haitong and AVIC Securities continued their supervision obligations. The company has confirmed that all raised funds have now been utilized.

Following this, the company received a letter from Guotai Haitong regarding the replacement of sponsor representatives. Mr. Zhao Zonghui is stepping down due to work changes and will no longer be involved in the company's continuous supervision. To ensure the orderly continuation of the remaining supervision duties, Guotai Haitong has appointed Mr. Xu Lei to take over Mr. Zhao Zonghui’s responsibilities. Mr. Xu Lei, a Chinese national, is a sponsor representative and a non-practicing member of the Chinese Institute of Certified Public Accountants, holding a master's degree. He currently serves as the deputy administrative head of the twelfth department of investment banking at Guotai Haitong Securities.

With this change, the continuous supervision of the company's 2021 non-public issuance of A-shares will now be handled by Mr. Yin Bo and Mr. Xu Lei. Mr. Xu Lei’s professional experience includes leading and participating in various IPO and refinancing projects for listed companies, as well as financial advisory roles for significant asset reorganizations. He is committed to strictly adhering to the "Administrative Measures for Sponsor Business in Securities Issuance and Listing."
