Guocheng Mining updates external guarantee provisions, reallocates quota

Guocheng Mining announced the latest developments in its external guarantee provisions, following approvals from its board and shareholders in early 2025. The company and its consolidated subsidiaries have a total approved guarantee limit of 119 billion yuan. Recently, Guocheng Mining entered into a 10 billion yuan working capital loan agreement with the Industrial and Commercial Bank of China, acting as a borrower with Inner Mongolia Dongshengmiao Mining Co., Ltd. as a co-borrower, undertaking repayment responsibility for Dongshengmiao Mining. Additionally, Guocheng Mining provided a joint liability guarantee for a 1 billion yuan working capital loan for Fengyang County Jinpeng Mining Co., Ltd. with Huishang Bank.

To facilitate ongoing operations, Guocheng Mining reallocated 10 billion yuan of unused guarantee quota from Inner Mongolia Guocheng Titanium Industry Co., Ltd. to Dongshengmiao Mining. This increased Dongshengmiao Mining's guarantee limit from 38.5 billion yuan to 48.5 billion yuan, while Guocheng Titanium Industry's limit decreased to 26.5 billion yuan. These guarantees aim to support the business development and operational capital needs of Dongshengmiao Mining and Jinpeng Mining, both of which are reported to have stable operations and manageable risks.

As of the disclosure date, Guocheng Mining and its subsidiaries' total actual external guarantee balance is 198.883 billion yuan. With the latest guarantees, this figure will not exceed 209.883 billion yuan, representing 70.18% of the company's latest audited net assets. The company confirmed no overdue guarantees, litigation-related guarantees, or losses from adjudicated guarantees, except for a guarantee provided to Malkang Jinpeng Mining Co., Ltd.
