Shanxi Taigang Stainless Steel amends articles, elects new board

Shanxi Taigang Stainless Steel Company Limited (SZSE:000825) has approved amendments to its articles of association, effective from the approval date of the shareholders' meeting. These amendments, passed by special resolution with 99.9534% approval from voting shareholders, reflect updated governance structures.

Concurrently, the company held its tenth board of directors' first meeting, electing Wu Xiaodi as chairman and Li Hua as vice chairman. Shang Jiajun was appointed general manager, and Zhang Zhijun as board secretary. The new board, consisting of 11 members including four independent directors, has also established four specialized committees: strategy, ESG, and technology innovation; audit; nomination; and remuneration and assessment.

The shareholders' meeting further approved the appointment of audit and internal control institutions for 2025 and revised several corporate governance policies, including the rules of procedure for the board of directors and the independent director system. Additionally, resolutions concerning daily related party transactions for 2026 and the renewal of financial service agreements with Baowu Group Finance Co., Ltd. were passed.
